Medical Practice/Physician Network Governance and Management Evaluation
and Restructuring
Partners is often called upon to analyze and/or
restructure an organization's governance and management structures. As a
result, this often involves an assessment of the organization's
problem-solving and policy development processes as elements of the
formal and informal governance structure. Armed with the view that
governance is the art of effectiveness (i.e., doing the right action),
and management is the science of deficiency (i.e., doing the action
write every time), Partners first evaluates the extent of the
organization's ability to act of execute decisions.
Typically, this
requires a review of the following:
-
Current strategic business plan
-
Mission, vision, and values
-
Business and marketing strategies
-
Capitalization and financial plan
-
Governance and decision-making
-
Articles and bylaws review
-
Reserved powers for elected board
-
Committee structure, authority, and options
-
Physician leadership, training, and development
-
Management
-
Succession strategies and plans
-
Role of physicians
-
Role of clinic executives and shareholders
-
Problem-solving versus policy development committees
-
Operating structure and accountabilities
Role-playing
and case studies are often used to educate participants to requisite
roles and, occasionally, the process also requires working with the
client's legal counsel to restructure their articles of incorporation
and bylaws. However, the goal remains consistent and clear: to more
clearly defined the appropriate rules for board members, corporate
officers, and administration apply in the decision-making, leadership,
and management of the organization.
